Your use of the Livestock Inspection Services Ltd. ("LIS") web site is subject to the terms and conditions listed below. LIS may amend the terms and conditions from time to time and you should check back to ensure that you continue to agree with the terms and conditions. Your use of the web site means that we will assume you have consented to the terms and conditions herein, as amended from time to time. Should you disagree with the terms and conditions of use you should stop using the LIS web site.

You understand and agree that the web site, the services and the content are provided "as is" and that LIS assumes no responsibility in connection with your use of the web site, the services or the content provided herein. The web site, the services and the content are provided for your personal, non-commercial use and for informational purposes. You may not use any of the content or services for commercial purposes. Further, you may not distribute, modify, republish or publicly display any of the content or services unless you have the prior permission of LIS, which permission may be withheld at LIS's discretion.

Governing Law

You agree that the governing law of the terms and conditions and your use of the web site and any content or services available through the web site shall be the Province of Alberta and the federal laws of Canada and you agree to attorn to the Courts of the Province of Alberta. If you use the LIS web site from another jurisdiction, you are responsible for compliance with any and all applicable local laws. LIS makes no representation that the materials contained within the LIS web site are appropriate for customers outside of the Province of Alberta, Canada.

User Conduct

You agree that in connection with your use of the web site, the services and the content you will not:
(a) interfere with or disrupt the web site, the services, the content or servers or network connected to the web site, the services or the content, or disobey any requirements, procedures, policies, or regulations of networks connected to the web site, the services or the content; or
(b) intentionally or unintentionally violate any applicable local, state, national or international law.

Indemnity

You agree to indemnify, defend and hold harmless LIS and each of its respective officers, directors, governors, owners, other officials, partners, partnerships, principals, employees, affiliates and other related entities, agents, representatives, successors and assigns from and against any claim or demand including solicitor and his own client costs and fees, arising out of your use of the web site, your connection to the web site, the content or the services, or your violation of the terms and conditions of use listed herein, or your violation of any applicable law, obligations or rights properly belonging to another party.

Linking

The web site may provide, or third parties may provide, links to other worldwide web sites or resources. Because LIS has no control over such sites, you acknowledge and agree that LIS is not responsible for the availability of such external sites or resources and does not endorse nor is responsible or liable for any content, advertising, products or other materials or information on or available from such sites or resources. You further acknowledge and agree that LIS shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.

Proprietary Rights

You acknowledge and agree that:
(a) LIS, the word mark and logo used in connection with LIS, and any logos or word marks associated with the web site are registered or common law trademarks of LIS;
(b) all LIS logos and word marks and other proprietary materials depicted on the web site are the property of LIS or are licensed to LIS and may not be reproduced without the prior written consent of LIS, whose consent may be withheld at LIS's sole discretion;
(c) the content, including, without limitation, news articles, press releases, statistics, photographs, images, illustrations, information, audio and video clips, is the property of, or is licensed by, LIS;
(d) any necessary software used in connection with the web site contains proprietary and confidential information that is protected by applicable intellectual property and other laws and is either owned by or licensed to LIS; and
(e) content contained on the web site or information presented to you through the web site and any services or content provided to you is protected by copyright, trademark, services marks, patents, or other proprietary rights and laws.

Except as expressly authorized by LIS you agree not to reproduce, republish, upload, post, transmit, distribute, copy, publicly display or otherwise use the content, the services or any derivative work based on the information you have gained from the web site or the software in whole or in part. You also agree not to modify the software in any manner or form, or to use modified versions of the software.

Disclaimer of Warranties and Conditions

You expressly understand and agree that:
(a) Your use of the web site is at your sole risk. The web site is provided on an "as is" and "as available" basis. LIS expressly disclaims all warranties and conditions of any kind, whether express or implied, including, but not limited to, warranties or conditions of title and non-infringement and the implied warranties of merchantability and fitness for a particular purpose.
(b) LIS makes no warranty that (i) the web site, the services or the content will meet your requirements, (ii) the web site, the services or the content will be uninterrupted, timely, secure or error-free, (iii) the results that may be obtained from your use of the web site, the services or the content will be accurate or reliable, (iv) the quality of any products, services, information obtained by you through the web site, the services or the content will meet your expectations, and (v) any errors in the software operating on the web site will be corrected.
(c) Any material downloaded or otherwise obtained through the use of the web site or the services is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.
(d) No advice or information, whether oral or written, obtained by you from the web site or through or from the services or the content shall create any warranty or condition not expressly stated in the terms.

Limitation of Liability

You expressly understand and agree that LIS shall not be liable for any direct, indirect, incidental, special, consequential, punitive or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if LIS has been advised of the possibility of such damages), in contract, tort or any other cause of action, resulting from: (i) the use or the inability to use the web site, the services or the content; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the web site, the services or the content; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements posted by, or the conduct of, any third party on the web site, the services or in the content, including, without limitation, the posting or transmission by third parties of defamatory, offensive or illegal material; or (v) any other matter relating to the web site, the services or the content. This limitation of liability applies, without limitation, to any damages or injury caused by any error, omission or other failure of performance by LIS, its affiliates and business partners; any interruption, defect or delay in operation or transmission, including communication line failure; any computer virus; and any theft, destruction or alteration of, or unauthorized access to or use of, any electronic records.

Exclusions and Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations of the previous two sections may not apply to you.

Linking to the web site

No link to the web site may be "framed" to the extent such frame contains any sponsorship, advertising or other commercial text or graphics.

LIS has not reviewed all of the sites that are linked to its web site, and the existence of a link does not indicate any approval or endorsement of any material contained on any link. LIS is not responsible for the contents of any site linked to its web site and your connection to those linked sites is at your own risk.

Copyright Policy

LIS respects the intellectual property rights of others. In connection with this policy, LIS will not knowingly post content or other works of authorship that infringe the copyrights of others. If you believe that a work of copyright has been copied in any way that constitutes copyright infringement, you may notify us by providing our copyright agent with the following information:

(a) the name of the person authorized to act on the owner's behalf;
(b) a description of the work you claim has been infringed;
(c) a description of where the material that you claim is infringing is located on the site;

General

In the event any term or provision of this Agreement, as amended from time to time, shall be deemed invalid or void, in whole or in part, by any court of competent jurisdiction, the remaining terms and provisions of the Agreement shall remain in full force and effect.

No failure or delay on the part of LIS in exercising any right, power or remedy under these terms and conditions shall operate as a waiver, nor shall any single or partial exercise of any such right, power or remedy preclude any other or further exercise or the exercise of any other right, power or remedy.
